Job Overview

The Associate General Counsel is a key member of MassCEC’s Legal Team within the Corporate Department. In this role, the Associate General Counsel will report to the Assistant General Counsel and the General Counsel. The Associate General Counsel is responsible for drafting, reviewing, and negotiating both contracts and corporate transactions, and the ideal candidate will be able to draw upon corporate experience. Most importantly, the successful candidate will be comfortable making recommendations to senior management regarding proposed courses of action.

 

Job Duties

The Associate General Counsel will be required to assist the legal department with a full range of legal matters including, but not limited to:

  • Drafting and reviewing service and vendor contracts, as well as grants, loans and equity investment agreements entered into by MassCEC;
  • Reviewing and assisting in developing programs and program documents, including solicitations, RFPs, and award agreements;
  • Performing legal due diligence for equity and debt investments;
  • Negotiating and monitoring lease and operation agreements with operators and users of MassCEC facilities;  
  • Reviewing awards of federal funds to MassCEC and assisting with implementation of pass-through requirements to MassCEC’s contractors and subrecipients;
  • Assisting with public law matters, including open meeting law, conflict of interest law, public records law, and federal and state energy laws and regulations;
  • Assisting with matters relating to the administration and conduct of Board meetings, including review of board materials and preparation of minutes;
  • Developing and providing legal trainings to staff on relevant topics;
  • Assisting with day-to-day legal needs for the Legal, Human Resources, Operations, and Finance Departments; and  
  • Accomplishing other tasks as directed by the Assistant General Counsel and the General Counsel.

Position Qualifications

Education

  • J.D. from a law school accredited by the American Bar Association, and an active member in good standing with the Massachusetts Bar
  • Experience
  • 2-4 years corporate law practice experience, or similar field;
  • Significant experience drafting, reviewing and negotiating contracts;
  • Experience working on early-stage, venture capital investment matters and/or with federal awards preferred; and
  • Experience working with government clients and/or on public law matters a plus.

 

Knowledge, Skills and Abilities

  • Demonstrated ability to obtain and review complex information and clearly articulate conclusions and associated recommendations and rationale;
  • Well-organized and detail-oriented with an outstanding work ethic; should be able to independently manage and successfully prioritize numerous projects under deadline pressure;
  • Ability to work collaboratively as an effective member of multi-disciplinary project and investments teams;
  • Strong problem-solving skills and ability to develop practical solutions to mitigate risks;
  • Proactive, client focused mindset;
  • Interest in climatetech and a demonstrated aptitude to understand complex and new technologies, systems, innovations and business concepts as well as market opportunities and challenges;
  • Ability to and preference for working in a fast-paced, leanly staffed, entrepreneurial environment;
  • Excellent oral and written communication skills; and
  • Demonstrated ability to work independently and manage multiple priorities effectively.
